Welmo Technology Terms of Service

This English version is a courtesy translation. In case of any discrepancy between the Chinese and English versions, the Chinese version shall prevail.

Important Notice

Please read this Terms of Service ("Agreement") carefully before using any service provided by Welmo Technology. Provisions printed in bold concern your significant rights (including but not limited to limitation of liability, disclaimers, dispute resolution, and jurisdiction). Please pay special attention.

If you do not agree with any provision of this Agreement, please immediately stop registering, activating, or using our services. By checking "I Agree", clicking "Register", completing activation, beginning to use, or otherwise accessing our services, you are deemed to have fully read, understood, and accepted all terms herein.

1. Parties and Acceptance

1.1 Parties

This Agreement is a legally binding contract between you (the "User" or "you") and Henan Welmo Technology Co., Ltd. (Unified Social Credit Code: 91410103MAG119PD2T; Registered Address: Room 2501, 25/F, Unit 1, Building 5, Yard 66 Zhengtong Road, Erqi District, Zhengzhou City, Henan Province, China) regarding your use of Welmo Technology services.

1.2 Acceptance

• By completing account registration, activating benefits, submitting orders, uploading content, or otherwise using the Service, you signify that you have read, understood, and voluntarily accepted all terms of this Agreement.
• If you accept this Agreement on behalf of an organization, you represent and warrant that you have the authority to do so.
• The applicability of this Agreement to minor users is detailed in the Minors Personal Information Protection Rules (Document 07).

1.3 Effective Date

This Agreement takes effect for all new and existing users on April 14, 2026. We will notify you in advance through in-app announcements, push notifications, and other reasonable means.

2. Definitions

For ease of reference, the following terms used in this Agreement and other Welmo legal documents have the following meanings:

3. Account Registration, Login, and Account Security

3.1 Eligibility

• You must be a natural person with full civil capacity.
• Persons with limited civil capacity must use the Service under guardian supervision, and the guardian must read and accept this Agreement. Detailed rules are set out in Document 07.
• You may not re-register if your eligibility has been revoked by Welmo Technology or any judicial authority.

3.2 Login Methods

Welmo Technology currently supports the following login methods:

1. WeChat Login — Authorize WeChat login within the "Welmo Perks" Mini-Program; we automatically obtain your WeChat OpenID.
2. SMS Login — On the website, log in using your mobile number plus an SMS verification code.
3. Password Login — On the website, log in using your mobile number plus a password (registration required first).

3.3 Mobile Number Binding

• Your mobile number is your unique identifier on this platform, used for identity verification, fulfillment notifications, password recovery, and other key business scenarios.
• On first use, we will guide you to bind a valid mainland China mobile number. Once bound, the mobile number cannot be changed by yourself. If a change is necessary, please contact customer service.
• You warrant that the mobile number you bind is lawfully held by you and is currently capable of receiving SMS messages.

3.4 Account Security

• You shall safeguard your account, password, verification codes, and login credentials, and shall be responsible for all activities conducted under your account.
• If you discover that your account has been compromised, your password leaked, or any other anomaly, you must immediately notify Welmo Technology and take necessary measures, otherwise you bear all resulting losses.
• Welmo Technology staff will never ask for your password or SMS verification code under any pretext. Do not disclose such information to any third party.

3.5 Truthfulness of Information

• You undertake that all information you submit during registration and use of the Service (mobile number, name, shipping address, order number, trial feedback, etc.) is true, accurate, and complete.
• Any consequences arising from your submission of false information (e.g., inability to verify benefits, fulfillment failure) are borne by you.

4. Overview of the Service

4.1 What we provide

Welmo Technology operates on a model of "purchase via external e-commerce → activation on platform → long-term benefit fulfillment", offering the following product lines:

4.2 Service Dependencies

• The purchase stage of the Service is fulfilled by external e-commerce platforms such as Douyin, Kuaishou, Xiaohongshu, and WeChat Channels. Welmo Technology does not directly process purchase payments. Issues with refunds, invoices, shipping fees, etc. shall be resolved with the seller in accordance with the relevant platform rules.
• Activation, claims, fulfillment, content uploads, and customer support are provided by Welmo Technology via this platform.
• Certain fulfillment activities (logistics, warehousing, trial cashback processing) are performed by third-party partners commissioned by Welmo Technology. See Document 04 for details.

4.3 Personal Information Processing

All personal information processing activities of the Service are described in the Privacy Policy (Document 02) and its appendices, the Personal Information Collection List (Document 03) and the Third-Party Sharing List (Document 04).

5. User Undertakings and Prohibited Conduct

5.1 Your Undertakings

You undertake that, in using the Service, you will:

1. Comply with the Constitution, laws, and administrative regulations of the People's Republic of China;
2. Respect public morals, social ethics, national interests, and public interests;
3. Respect the lawful rights of others (including but not limited to privacy, portrait rights, intellectual property, and reputation);
4. Submit true, accurate, and complete information;
5. Use the purchase order number solely for activating your own benefits; not resell, transfer, lend, or rent it, and not transfer the benefits you activate;
6. Not circumvent or attempt to circumvent Welmo Technology's security measures, purchase limits, or anti-fraud mechanisms.

5.2 Prohibited Conduct

You shall not engage in any of the following:

1. Use the Service for activities that violate laws and regulations or harm the public interest;
2. Upload, publish, or transmit unlawful or harmful content prohibited by the Provisions on the Ecological Governance of Online Information Content, the Internet Information Services Administration Measures, or other regulations;
3. Upload, publish, or transmit images or videos containing violence, pornography, terrorism, drugs, gambling, or politically/religiously sensitive content;
4. Upload, publish, or transmit content that infringes upon the portrait rights, privacy, reputation, or intellectual property of others;
5. Use technical means to forge, modify, scrape, or batch-collect any data or code of the Service;
6. Repeatedly claim a single-use benefit (such as The Greens trial cashback) using the same mobile number, recipient name, shipping address, or other circumvention means;
7. Resell, transfer, lease, gift, or otherwise transfer purchase order numbers, benefits, or accounts to others;
8. Disrupt, damage, or invade Welmo Technology's servers, networks, or security systems;
9. Register, activate, or claim benefits in someone else's name;
10. Engage in any other conduct that violates laws, regulations, this Agreement, or Welmo Technology's published rules.

5.3 Breach Handling

If you breach the foregoing undertakings or engage in any prohibited conduct, Welmo Technology may, depending on the severity, take one or more of the following measures without prior notice:

• Remove offending content;
• Suspend or terminate part or all of your benefits;
• Reject your current or future claim requests;
• Freeze or deactivate your account;
• Pursue your liability and demand compensation for all losses caused to Welmo Technology;
• Report to competent authorities and cooperate with investigations.

6. Intellectual Property

6.1 Welmo Technology's IP

• Welmo Technology and its affiliates hold all lawful rights to the intellectual property of the Service, including but not limited to the trademarks, trade names, text, images, icons, layouts, color schemes, UI designs, source code, databases, documentation, and product packaging designs of "未陌", "未陌科技", "Welmo", "未陌惠", "WelmoPerks", "未陌原粒现磨", "未陌果蔬计划", "未陌尘宠", "未陌精选", "LumaPet", and "The Greens".
• Without prior written permission from Welmo Technology, you may not copy, modify, distribute, commercialize, reverse engineer, decompile, or otherwise use the foregoing.

6.2 Ownership of User-Uploaded Content

• You retain the original copyright in content you upload (photos, videos, textual feedback, etc.).
• You acknowledge and agree that, to provide the Service (including storage, display, sharing with fulfillment partners, marketing use, etc.), you grant Welmo Technology a limited, non-exclusive, worldwide license. Detailed scope, revocability, etc. are set out in Document 06.

6.3 Third-Party IP

• If you discover that the Service contains content that infringes the lawful rights of you or others, you may submit a complaint to legal@welmotech.com with: (i) proof of identity, (ii) proof of rights, (iii) the allegedly infringing link, and (iv) a statement of the infringement. We will review and act within a reasonable time after receiving a complete complaint.

7. Limitation of Liability and Disclaimer

7.1 As-Is Service

Welmo Technology provides the Service on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Welmo Technology makes no express or implied warranties as to the fitness for a particular purpose, uninterrupted operation, absolute security, or absolute accuracy of the Service.

7.2 Third-Party Disclaimers

Welmo Technology shall not be liable for service interruption, data delay, or loss caused by:

1. Force majeure (earthquake, typhoon, flood, fire, war, strike, government action, network failure, epidemic, etc.);
2. Failures of network operators, telecom services, or power supply in your region;
3. Failures, changes, suspensions, or terminations of third-party platforms or services such as WeChat, Douyin, Kuaishou, Xiaohongshu, or Alibaba Cloud;
4. Unauthorized actions by you or any third party, equipment failures, or system misconfigurations;
5. Losses caused by your disclosure of account credentials or failure to safeguard your devices;
6. Any measures lawfully taken by government authorities.

7.3 Liability Cap

In any event, the total liability of Welmo Technology for any losses arising from your use of or inability to use the Service (including direct, indirect, profit, and goodwill losses) shall not exceed the actual amount you paid for the specific benefit on the external e-commerce platform, except where mandatory law provides otherwise.

7.4 Content Liability

• You are solely responsible for all content you upload and warrant that it does not infringe any third-party rights.
• For any complaint, claim, or lawsuit arising from content you upload, you bear all liability and shall compensate Welmo Technology for all losses (including litigation costs, attorneys' fees, and settlements).

8. Service Modification, Suspension, and Termination

8.1 Modification

Welmo Technology may adjust, supplement, update, or terminate the content, form, or rules of the Service to meet business development, legal changes, or compliance requirements. Material changes will be announced through reasonable means with reasonable advance notice.

8.2 Suspension

The Service may be temporarily suspended for system upgrades, maintenance, or migration. We will use reasonable efforts to provide advance notice, but emergency situations may not allow it.

8.3 User-Initiated Termination

• You may stop using the Service at any time.
• You may apply for account deletion in accordance with Document 09.

8.4 Welmo-Initiated Termination

If you breach this Agreement or applicable laws, Welmo Technology may immediately suspend or terminate the Service to you without refund or compensation.

8.5 Effects of Termination

After termination:

• Your account will be disabled or deactivated;
• Any unconsumed benefits are deemed forfeited;
• We will process your personal information in accordance with Document 02 and Document 09;
• Provisions on intellectual property, limitation of liability, and dispute resolution survive termination.

9. Amendments

9.1 Circumstances

Welmo Technology may amend this Agreement from time to time in response to business changes, legal updates, or compliance requirements. Amendments will be notified by:

• Prominent notice on the website;
• Push notification within the Mini-Program;
• SMS to your bound mobile number (material changes only);
• Email to any address you have provided (where applicable).

9.2 Material Changes

For amendments affecting your significant rights (including narrowing of service scope, fee changes, expanded purposes of personal information processing, new third-party sharing, or changes to cross-border transfer arrangements), Welmo Technology will provide reasonable advance notice (generally not less than 7 days) and require your re-consent.

9.3 Effective Date of Amendments

• Amendments take effect on the date specified in the announcement.
• If you disagree, you should stop using the Service and apply for account deletion before the effective date; continued use constitutes acceptance.

10. Governing Law and Dispute Resolution

10.1 Governing Law

This Agreement is governed by the currently effective laws of the mainland area of the People's Republic of China (excluding the laws of the Hong Kong SAR, Macao SAR, and Taiwan).

10.2 Dispute Resolution

• Any dispute arising from or in connection with this Agreement shall first be resolved through friendly negotiation.
• Failing such resolution, either party may bring suit before the People's Court of Erqi District, Zhengzhou City, Henan Province.

10.3 Users Outside Mainland China

If you use the Service from outside mainland China, you acknowledge that the Service is operated for users in mainland China and you are solely responsible for confirming the legality of using the Service in your jurisdiction. This Agreement does not constitute a commitment by Welmo Technology to comply with mandatory laws of other jurisdictions.

12. Miscellaneous

12.1 Entire Agreement

This Agreement, together with the Privacy Policy, the Membership Benefits Agreement, the User Content & Portrait License, the Minors Personal Information Protection Rules, the Cookie & Local Storage Notice, and the Account Deletion & Data Export Rules, constitutes the entire agreement between you and Welmo Technology regarding the Service.

12.2 Severability

If any provision of this Agreement is held invalid or unenforceable by a competent authority, the remaining provisions remain in full force.

12.3 No Waiver

Failure by Welmo Technology to exercise any right hereunder does not constitute a waiver of that right.

12.4 Headings

Section headings are for convenience only and shall not be used to interpret the corresponding provisions.
